We are able to advise individual investors, private equity or venture capital funds on the various forms of investing in companies including subscription of shares, preference shares, notes, convertible loans, convertible bonds and convertible notes. We are also able to advise companies on the proposed investment by external parties.

Scope of work

• Preparation of draft investment agreement, convertible bond agreement, convertible loan agreement or subscription agreement
• Attend up to three (3) physical meetings (add-on)
• Negotiate essential terms for clients
• Review and advise on proposed amendments from opposing counsel
• Propose drafting amendments
• Advise on issues relating to the proposed investment
• Amendment of Articles of Association of investee company
• Email and phone advice
